Definitions
In this Terms & Conditions the following words and expressions shall have the following meanings:
“the Company” means Lineait Limited who provides the services for the Customer.
“the Customer” means the person or entity which has engaged with the Company to request Services from the Company.
"Equipment” means the computer device or other system or hardware or peripheral under the charge of the Customer or New or replacement parts (hardware or software) provided to the Customer by the Company.
"Charges" means the charges to be paid by the Customer for the Computer Services
“Services" means the provision of labour by the Company to the Customer to repair, rectify faults, upgrade, configure or carry out other preventative or remedial Services to hardware and software.
Services
The Company agrees to provide Services to the Customer in respect of these terms and conditions.
Exclusions from providing Services
The Company’s obligation to provide Services is contingent upon the proper use of all Equipment and further the Company shall not be obliged to provide Services nor be expected to repair or fix the equipment or software if any Equipment has been subjected to unusual physical or electrical stress, adjustment, repair, accident, neglect, misuse, improper programming, failure of electrical power, air conditioning, humidity control, transportation or causes other than normal use for which the Equipment was designed.
Charges & Fees
The Customer will pay to the Company any Charges due immediately the Company’s representative has completed the Service to the Customer’s satisfaction. All charges are payable without any deductions or withholding of any kind but with the addition of VAT and at the Company’s discretion any Credit Card surcharge that is charged to Company by the Credit Card handling agent.
Customers Obligation
The Customer undertakes to provide full and free access to the Equipment and working space and adequate facilities including electrical outlets within a reasonable distance from the Equipment. The Customer shall obtain, keep and make available to the Company machine readable copies of all programs, data files and operating systems relating to the Equipment. In the case of re-loading or upgrading operating systems the Company does not take any liability for the Customer’s inability to use its machine readable data. The Customer will also supply the necessary license key files for applications that require them. The Company will not install software without the proper purchased licensed software being made available by the Customer.
Company’s Obligation
The Company shall use its reasonable endeavours to provide Services to the Customer in good time and to its knowledge at the time ensuring that best value for money and the most appropriate course of action is taken.
Replacement or Supply of new Equipment.
The Company will provide all Equipment modifications which the Company deems necessary for providing the Services to the Customer. If original Equipment cannot be sources then a new equivalent standard piece of equipment of equal quality will be used. All Equipment will remain the property of the Company until paid for in full by the Customer. All Equipment will be subject to a warranty period of 3 months from the date of the Services indicated on the front of this Terms & Conditions. Your statutory rights are not affected.
Backup
Additional labour incurred in attempting to recover files if the Customer has not maintained a proper backup schedule will be charged at the Company’s standard rate.
Limitation of Liability
in no event shall the Company be liable for any damages, including loss of business, loss of opportunity, loss of profits, loss of data or electronic files or for any other indirect or consequential loss or damage whatsoever in connection with the Company’s performance under these Terms & Conditions. Nothing in these Terms & Conditions shall exclude or limit the liability of the Company for death or personal injury resulting from the negligence of the Company or its employees or agents.
Confidentiality
All information acquired by the Company relating to the business of the Customer and its customers, if applicable, shall be treated by the Company as confidential (after as well as during this Terms & Conditions) and the Company shall not make any use or disclosure of it. The Company shall take all reasonable steps to protect the confidentiality of such information and require its employees who require access to it for the performance of their duties to enter into written undertakings as to confidentiality which are consistent with the Company’s obligations under this Terms & Conditions and are directly enforceable by the Customer.
Force Majuere
Neither party shall be liable to the other party for any delay or failure to perform any of its obligations under this Terms & Conditions if the delay or failure results from events or circumstances outside its reasonable control, and the party shall be entitled to a reasonable extension of its obligations after notifying the other party in writing of the nature and extent of such events.
Notices
Any notice to be given by either party to the other may be sent by either email, fax or recorded delivery to the most recent email address, fax number or address notified to the other party, and if sent by email shall unless the contrary is proved be deemed to be received on the day it was sent or if sent by fax shall be deemed to be served on receipt of an error free transmission report, or if sent by recorded delivery shall be deemed to be served 2 days following the date of posting.
Third Party Rights
No person other than the Company and the Customer shall acquire any enforceable rights under or in connection with this Terms & Conditions.
Governing Law & Jurisdiction
This Terms & Conditions shall be governed by and construed in accordance with the law of the United Kingdom and the parties submit to the exclusive jurisdiction of the courts of the United Kingdom
